Terms of Service

2.1 Account Creation: You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

2.2 Account Eligibility: You must be at least 18 years old to use this Service. By creating an account, you represent that you meet this age requirement.

2.3 Account Security: You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to maintain account security.

2.4 Account Termination: We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

3.1 Permitted Use: The Service is provided for legitimate image compression purposes only. You may use the Service to compress images that you own or have the legal right to process.

3.2 Prohibited Activities: You agree not to:

• Upload or process any illegal, harmful, or infringing content
• Attempt to reverse engineer or decompile the Service
• Use automated systems to access the Service beyond API rate limits
• Share your account credentials with third parties
• Resell or redistribute the Service without authorization
• Interfere with or disrupt the Service or servers
• Upload malware, viruses, or malicious code

3.3 Usage Limits: Your use of the Service is subject to MB-Credit limits based on your subscription tier. Exceeding these limits may result in overage charges (if applicable to your tier) or service suspension.

3.4 Fair Use: We reserve the right to enforce fair use policies and may limit or suspend service to users engaging in excessive or abusive usage patterns.

4.1 Subscription Fees: Paid subscriptions are billed on a monthly or annual basis, depending on your selected billing period. All fees are in US Dollars unless otherwise specified.

4.2 Payment Method: You must provide a valid payment method for paid subscriptions. By providing a payment method, you authorize us to charge all subscription fees to that payment method.

4.3 Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee.

4.4 Price Changes: We may change subscription prices at any time with 30 days' notice. Price changes will not affect your current billing period.

4.5 Overage Charges: Professional, Business, and Enterprise tiers may incur overage charges if usage exceeds MB-Credit limits. You will be notified before overage charges are applied.

4.6 Refund Policy: We offer a 30-day money-back guarantee on all paid plans. Refund requests must be submitted within 30 days of the initial purchase. Refunds are not available for renewals or overage charges.

4.7 Cancellation: You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No partial refunds are provided for mid-cycle cancellations.

5.1 Your Content: You retain all rights to images you upload to the Service. By uploading content, you grant us a limited license to process, compress, and deliver your images back to you.

5.2 Our Technology: The Service, including our GAN-based compression technology, algorithms, software, and all related intellectual property, is owned by us and protected by copyright, trademark, and other laws.

5.3 License to Use: We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

5.4 Trademarks: "Neural Compress Pro" and associated logos are our trademarks. You may not use our trademarks without prior written permission.

6.1 Data Processing: We process your images solely for the purpose of compression and delivery. Images are deleted immediately after compression unless you opt-in to storage features.

6.2 Privacy Policy: Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.3 Data Security: We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

7.1 Uptime: We strive to maintain high service availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

7.2 Service Modifications: We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

7.3 Beta Features: Some features may be labeled as "beta" or "experimental." These features are provided as-is and may be modified or removed at any time.

8.1 AS-IS Service: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 No Guarantee: We do not guarantee that the Service will meet your requirements, be error-free, or that compression results will meet specific quality standards.

8.3 Quality Variance: Compression results may vary based on image content, format, and other factors. We do not warrant specific compression ratios or quality levels.

9.1 Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

9.2 Maximum Liability: Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9.3 Essential Purpose: These limitations apply even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose.

11.1 Informal Resolution: Before filing a claim, you agree to contact us at legal@neuralcompresspro.com to attempt to resolve the dispute informally.

11.2 Arbitration: Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11.3 Class Action Waiver: You agree to resolve disputes on an individual basis only and waive any right to participate in class actions or class arbitrations.

12.1 Governing Law: These Terms shall be governed by the laws of the State of California, USA, without regard to conflict of law principles.

12.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

12.3 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

12.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without notice.

12.5 Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
